These Terms & Conditions (including all other terms, policies, notices, guidelines, and forms referenced herein or otherwise available on the website or by hyperlink) (“Terms”) govern your use of the websites, products and rental products provided by HAPPY PARTY PTE LTD (or referred to as “HappyK” or “us”).

Please read these Terms carefully. By placing this Order, you agree that you have read, understood, and accepted the Terms. If you do not agree with or fall within the Terms, please do not place the Order.

The Order may be placed by (i) natural persons who have reached 18 years of age and (ii) corporate legal entities, e.g companies.

Customers below the age of 18 must obtain consent from parent(s) or legal guardian(s), who by accepting these Terms shall agree to take responsibility for: (i) your actions; (ii) any charges associated with your use of the website, Services and/or purchase of Goods; (iii) your acceptance and compliance with these Terms. If you do not have consent from your parent(s) or legal guardian(s), you must not place the Order. 

All photos and images of the Services and Goods shown on the website are also for illustrative purposes only and may differ from the actual Services and Goods. 

HappyK reserves the right to revise these Terms at any time and you are deemed to be aware of and bound by any changes to the foregoing upon their publication on the website.

1. HappyK

1.1 What We Do

Through our website, HappyK allows you to rent a variety of rental products including karaoke equipment, video gaming equipment, audio and visual equipment, and miscellaneous entertainment items (hereinafter collectively referred to as “Services“). HappyK also allows you to purchase a variety of products including karaoke equipment, video gaming equipment, audio and visual equipment, and miscellaneous entertainment items (hereinafter collectively referred to as “Goods“). When you place an order for Services and/or Goods from us (“Order”), we will process, administer, conclude, and subsequently arrange your order to be delivered or collected by either us or a third-party logistics provider.

2. Orders

2.1. HappyK reserves the right to decline, amend, or cancel your order at its sole discretion, including without limitation, where it deems that any transaction is; fraudulent or suspects it is fraudulent, not valid due Services or Goods being not available for any reason or any other reasons which caused an order not able to be fulfilled, not valid due unsatisfactory “Deposit – Proof Of Address” documents, owed outstanding fees.

2.2 When you place an Order with HappyK, HappyK will confirm your Order by sending you an email containing the Order receipt.

2.3 Special Instructions 

HappyK will reasonably endeavour to comply with your special instructions for an Order. However, in some cases where this is not feasible, possible, or commercially reasonable, HappyK reserve the right to proceed to with the Order in accordance with standard operating procedures. HappyK shall not be responsible to replace or refund an Order which does not conform to special instructions provided by you.

2.4 Placing an Order

To complete an Order, please follow the onscreen instructions after clicking “Proceed To Checkout”. You will be required to provide your details for us to complete your Order. You are required to review and confirm that all the information you provide, including the Services, Goods, amounts, delivery details, collection details, personal details, payment information, and voucher codes (if applicable) is true, accurate and complete before you click “Place Order”. An Order is successfully placed when you receive an email confirmation containing your Order receipt from us.

2.5 Deposit – Proof Of Address

HappyK requires a proof of address document as the equipment provided in our Services are expensive and it will be used to verify your identity and used in lieu of a monetary deposit. The document can be any physical or electronic; (i) statement (ii) bill (iii) correspondence, received within the last 2 months and issued by any; (i) government agencies / organisations (ii) utilities (ii) banks (iv) insurance companies, with these details visible; (i) name (ii) logo / letterhead (iii) address (iv) date. Your Order will only be dispatched upon submission and verification of your “Deposit – Proof Of Address” document.

2.6 Cancelling an Order

Please contact our customer support via one of the methods set out in Clause 1.2 above if you wish to cancel your Order after it has been placed.

2.7 Refunds

You agree and consent to HappyK processing your cancellation and refund of your Order in accordance with these Terms and as further described in our Cancellation and Refunds Policy. You have the right to a full refund for a cancelled Order only if no payment has been received for your Order. Should you still decide to cancel your Order after payment has been made, you understand that cancellations made 5 calendar days or more in advance of the “Delivery Date”, will incur a 10% fee. Cancellations made within 2 – 4 calendar days will incur a 20% fee. Cancellations made within 24 hours to the “Delivery Date” will incur a 50% fee. Cancellations made on the “Delivery Date” will not be refunded.

If you are entitled to a refund in accordance with the cancellation and refunds policy set out in this Terms, you agree that;

2.7.1 where the purchase was made using Credit Card, Debit Card or PayPal payment methods, we will credit the refund to the same online payment method.

2.7.2 where the purchase was made using PayNow payment method, we will credit the refund via PayNow to the mobile number listed on your Order. Should the mobile number listed on your order be not linked to PayNow, we will endeavour to contact you for arranging other refund methods.

We may require you to provide additional information prior to processing any refund. If you have not received a refund, you may wish to check your bank account again or contact your credit card company or bank or PayPal as it may take some time for your refund to be posted. If you have done all of this and you still have not received your refund, please contact customer support via one of the methods set out in Clause 1.2 above.

3. Delivery / Collection

You agree and consent to HappyK processing your delivery and collection of your Order in accordance with these Terms and as further described in our Delivery and Collection Policy. 3.1 Unsuccessful or Failed Deliveries

3.1.1 Without prejudice to any other clauses in these Terms, in cases where we attempt to deliver an Order but we are unable to do so due to the reasons caused by you, including but not limited to:

(i) no one was present or available to receive the Order. 

(ii) customer was uncontactable despite attempts to reach the customer via the phone number provided. 

(iii) lack of appropriate or sufficient access to deliver the Order successfully. 

(iv) lack of a suitable or secure location to leave the Order.

We will contact you via, among others, call or message, or email, to inform of the unsuccessful delivery and next steps. In such cases, HappyK reserves the right to cancel the Order without refund or remedy to you.

3.1.2 No-Show Cancellations

If you remain uncontactable or fail to receive the Order within ten (10) minutes from the time the Order arrives at your delivery address, HappyK reserves the right to cancel the Order without refund or remedy to you. 

3.2 Unsuccessful or Failed Collections

3.2.1 Without prejudice to any other clauses in these Terms, in cases where we attempt to collect an Order but we are unable to do so due to the reasons caused by you, including but not limited to:

(i) no one was present or available to return the Order. 

(ii) customer was uncontactable despite attempts to reach the customer via the phone number provided. 

(iii) lack of appropriate or sufficient access to collect the Order successfully. 

We will contact you via, among others, call or message, or email, to inform of the unsuccessful collection and next steps. In such cases, HappyK reserves the right to charge S$30.00 for administrative and logistical costs incurred and charge S$100.00 for each day of non-return of its Services following the expiry of the “Collection Date”. Non-return of Services after the expiry of the “Collection Date” and following unsuccessful attempts to contact customers, shall be reported to the authorities and have legal actions taken against them.

3.2.2 No-Show Cancellations

If you remain uncontactable or fail to return the Order within ten (10) minutes from the time the collection service arrives at your collection address, HappyK reserves the right to charge S$30.00 for administrative and logistical costs incurred and charge S$100.00 for each day of non-return of its Services following the expiry of the “Collection Date”. Non-return of Services after the expiry of the “Collection Date” and following unsuccessful attempts to contact customers, shall be reported to the authorities and have legal actions taken against them.

3.3 Omitted Item(s) After Successful Collection

In the event of a successful collection and item(s) are found to be omitted but still within your possession. We will contact you via, among others, call or message, or email, to inform of the omitted item(s) and next steps. In such cases, HappyK reserve the right to charge a retrieval fee of S$30.00.

3.4 Wrong Order, Missing Items, Defective Services/Goods 

Upon receipt of your Order, if you discover that there are issues with your Order (e.g. wrong order, defective order, or missing items) please immediately contact customer support via one of the methods set out in Clause 1.2 above. In some cases, HappyK may request for photographic proof, video proof and/or additional information to thoroughly investigate the issue with your Order. If we determine that the Order you received are not of satisfactory condition or quality, we will compensate you for your Order or parts of your Order.

4. Lost or Damaged Items

You agree and consent to HappyK processing the lost or damaged items of your Order in accordance with these Terms and as further described in our Lost or Damaged Items Policy. 5. Coupons, Discounts and Promotions

5.1 From time to time, HappyK may run marketing and promotional campaigns which offer coupon codes, discounts, and other promotional offers to be used on the website (“Coupons”). Coupons are subject to validity periods, redemption periods, and in certain cases, may only be used once.

5.2 Coupons may not be valid when used in conjunction with other promotions, discounts or other coupons. Additional terms and conditions may apply to Coupons. 

5.3 Unless otherwise stated, Coupons can only be used on our website. 

5.4 Coupons cannot be exchanged for cash.

5.5 HappyK reserves the right to void, discontinue or reject the use of any Coupon without prior notice. Individual Coupons terms & conditions apply.

5.6 HappyK may exclude certain Services and Goods from the use of Coupons at any time without prior notice to you. 

6. Personal Data (Personal Information) Protection 

You agree and consent to HappyK and any of its affiliate companies collecting, using, processing, and disclosing your Personal Data in accordance with these Terms and as further described in our Privacy Policy. 7. Representations, Warranties and Limitations of Liabilities

7.1 Representations and Warranties

You acknowledge and agree that the content on the website is provided on an “as is” and “as available” basis, and that your use of or reliance upon the website and any content, goods, products, or services accessed or obtained thereby is at your sole risk and discretion. 

All photos and images of the Goods/Services are also for illustrative purposes only and may differ from the actual Goods/Services. 

While HappyK makes reasonable efforts to ensure the provision of the website and the services we offer, are available at all times, we do not warrant or represent that the website shall be provided in a manner which is secure, timely, uninterrupted, error-free, free of technical difficulties, defects or viruses. Please expect temporary interruptions of the website due to scheduled or regular system maintenance work, downtimes attributable to internet or electronic communications or events of force majeure. 

7.2 Limitation of Liability

To the extent permitted by law, HappyK (which shall include its employees, directors, agents, representatives, affiliates and parent company) exclude all liability (whether arising in contract, in negligence or otherwise) for loss or damage which you or any third party may incur in connection with our products, our services, and any links linked to our website and any content or material posted on it. HappyK, their agents, representatives, and service providers shall not be liable for any indirect, special, incidental, consequential, or exemplary damages arising from your use of the website, products, or services or for any other claim related in any way to your use of the Goods / or Services we provide. These exclusions for indirect, special, consequential, and exemplary damages include, without limitation, damages for lost profits, lost data, loss of goodwill, work stoppage, work stoppage, computer failure, or malfunction, or any other commercial damages or losses, even if HappyK, their agents, representatives, and service providers have been advised of the possibility thereof and regardless of the legal or equitable theory upon which the claim is based.

8. Indemnity

You agree to indemnify, defend, hold harmless HappyK Singapore and its directors, officers, employees, representatives, agents, and affiliates, from any and all third-party claims, liability, damages and/or costs (including but not limited to, legal fees) arising from your use of our Services / Goods or your breach of these Terms.

9. Severability

If any provision of these Terms is found to be invalid by any court having competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms, which shall remain in full force and effect. No waiver of any provision in these Terms shall be deemed a further or continuing waiver of such provision or any other provision.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Singapore in which HappyK is incorporated. The Republic of Singapore courts will have jurisdiction over any dispute or claim arising out of or in connection with these Terms.
